Terms of Service

These Terms are an agreement between you and DimeClip LLC ("DimeClip," "we," "us") and govern your use of the DimeClip apps, websites, and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

DimeClip is in a private beta. Features may change, break, or be removed, and the Service is provided on an "as is" basis while we build it. Please don't rely on it as your only copy of important film.

1. Who can use DimeClip

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. DimeClip is intended for coaches, team staff, and other adults — it is not directed to or intended for use by children. You are responsible for everyone you invite to your team and for their use of the Service.

2. Your account

Provide accurate information and keep your login credentials secure.
You are responsible for activity that happens under your account.
Tell us promptly at support@dimeclip.com if you suspect unauthorized use.

3. Your content and rights

You keep all ownership of the film, photos, rosters, stats, and other content you add ("Your Content"). DimeClip does not claim ownership of Your Content.

To run the Service, you grant DimeClip a limited, non-exclusive, worldwide license to host, store, copy, process, transcode, analyze, and display Your Content solely to provide and improve the Service for you and your team. This license ends when you delete the content or your account, except for copies retained briefly in backups or as required by law.

You represent and warrant that, for everything you upload, you have all necessary rights and permissions — including, where the content depicts minors, any parental or guardian consent required by your league, school, or applicable law (see the Privacy Policy). You are responsible for obtaining those consents; DimeClip relies on you to do so.

4. Acceptable use

You agree not to:

upload content you don't have the right to upload, or that infringes someone else's rights or privacy;
upload unlawful, harassing, or harmful content, or use the Service to harm or exploit minors;
attempt to access other teams' data, probe or breach security, or disrupt the Service;
scrape, reverse engineer, resell, or build a competing product from the Service; or
misuse the Service in any way that violates the law or these Terms.

5. AI and analytics features

DimeClip uses automated tools — including auto-tagging, highlight detection, grades, and statistical analysis — to help you break down film. These features are assistive and may be inaccurate or incomplete. They are not a substitute for your own judgment as a coach. Don't rely on them for decisions where an error could cause harm.

6. Fees

DimeClip is free during the private beta. We may introduce paid plans in the future; if we do, we'll give you notice and you can choose whether to continue on a paid plan.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or end your access if you violate these Terms, if needed to protect the Service or other users, or if we discontinue the Service. On termination, the rights you granted us end and we will delete or return Your Content as described in the Privacy Policy, subject to legal requirements.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that your data will never be lost. Keep your own backups of irreplaceable film.

9. Limitation of liability

To the fullest extent permitted by law, DimeClip and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data, lost profits, or lost goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim, or US $100.

10. Indemnification

You agree to indemnify and hold DimeClip harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your failure to obtain any consent required to upload content depicting other people, including minors.

11. Governing law

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules. You and DimeClip agree to the exclusive jurisdiction of the state and federal courts located in Ohio for any dispute that isn't subject to arbitration or small-claims court.

12. Changes to these Terms

We may update these Terms as the Service evolves. If we make a material change, we'll update the date above and, where appropriate, notify you in the app or by email. Continued use after a change means you accept the updated Terms.
